Terms and conditions for our managed IT services.

1. Agreement to Terms

By accessing and using Scribe IT's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

Scribe IT provides managed IT services including but not limited to:

  • Managed IT support and monitoring
  • Cybersecurity services
  • Cloud and Microsoft 365 management
  • Backup and disaster recovery
  • Networking and infrastructure support
  • IT strategy and consulting

3. Service Levels and Availability

Service levels vary by plan:

  • Essential Care: Business hours support (Mon-Fri, 8-5 AEST)
  • Pro Care: SLA: P1 1hr, P2 4hrs response time
  • Elite Care: Extended hours (7-7) or 24/7 on-call

4. Payment Terms

Payment terms and conditions:

  • Monthly fees are billed in advance
  • Payment is due within 30 days of invoice date
  • Late payments may incur additional charges
  • Onsite support and projects are billed separately
  • Prices are subject to change with 30 days notice

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate information about their IT environment
  • Cooperating with our support team
  • Maintaining appropriate backups of critical data
  • Complying with software licensing requirements
  • Notifying us of changes to their IT infrastructure

6. Limitation of Liability

Scribe IT's liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

7. Service Exclusions

The following are not included in standard service plans:

  • Unlimited onsite support
  • Custom application support
  • Personal device support
  • Hardware costs and replacements
  • Major projects and migrations
  • Third-party software licensing

8. Data Security and Privacy

We implement appropriate security measures to protect client data. However, clients remain responsible for their data security and compliance with applicable regulations. We will not access client data except as necessary to provide services.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • All outstanding invoices become immediately due
  • We will provide reasonable assistance with transition
  • Client data will be returned or securely destroyed
  • Confidentiality obligations continue

10. Intellectual Property

All intellectual property rights in our services, software, and documentation remain with Scribe IT. Clients retain ownership of their data and intellectual property.

11. Confidentiality

Both parties agree to maintain confidentiality of sensitive information disclosed during the course of providing services. This obligation continues after termination of services.

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or internet outages.

13. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland.

14. Changes to Terms

We may modify these terms at any time. Changes will be effective 30 days after notice. Continued use of services constitutes acceptance of modified terms.
